| Bobst Group completes the acquisition of Fischer & Krecke, Germany |
|
On March 31, 2008, following a thorough due diligence process, the approval by the German Federal Cartel Office and an intensive period of negotiations, Bobst Group completed the acquisition of 100% of the group Fischer & Krecke, Germany.
This acquisition is in line with the Bobst Group strategy to expand its operations in the Flexible Materials market worldwide and to strengthen its presence in the flexographic printing area. The price paid to the shareholder of Fischer & Krecke is EUR 5.0m in shares of Bobst Group SA and EUR 548’000.- in cash. The one-time costs to integrate the group Fischer & Krecke will lead in 2008 to a slightly negative Operating Profit for the Business Area Flexible Materials. In 2009, the Operating Profit is expected to return back to positive figures.
The group Fischer & Krecke is one of the world leaders (under the brand Fischer & Krecke) for flexographic printing solutions for flexible materials, paper and board and (under the brand Kochsiek) in two specialized areas: rotogravure printing and inline rotary die-cutting for paperboard packaging for liquids, and rotogravure printing for decorative applications. In 2007, the turnover of Fischer & Krecke and its affiliates was EUR 85m and the company employed 395 people worldwide, including 30 apprentices in Bielefeld, Germany.
With this acquisition, Bobst Group intends to establish its worldwide center of competence for flexographic printing for flexible materials in Bielefeld, Germany. The Piacenza/Italy site will be transformed into a Group production site similar to the already existing sites in Itatiba/Brazil, Shanghai/China and Pune/India.
